Buying a business in New York's North Country

Empire State Development defines the North Country as Clinton, Essex, Franklin, Hamilton, Jefferson, Lewis, and St. Lawrence counties. It identifies Watertown, Plattsburgh, and Lake Placid as important centers and emphasizes the region's proximity to Canada [1] .
- Plattsburgh / Clinton County: Quebec-facing trade, manufacturing, services, healthcare, and education.
- Watertown / Jefferson County: Fort Drum-related demand, local services, distribution, and access toward the Thousand Islands.
- St. Lawrence County: dispersed population, colleges, manufacturing and river or border connections; service radii can be large.
- Adirondack counties and communities: tourism, hospitality, property services, construction, and seasonal staffing dominate many local deal models.

Cross-border exposure: opportunity and a separate diligence track
ESD points to proximity to Quebec and Eastern Ontario, the Alexandria Bay and Champlain crossings, and shipping connections through Ogdensburg and Montreal [1] . Those facts create potential; the target's records must show whether value actually depends on them.
For Canadian customers, suppliers, owners, or freight, separate:
- revenue, gross profit, receivables, and concentration by country and currency;
- contract currency, pricing adjustment, delivery term, duties, and customs responsibility;
- broker, carrier, warehouse, and border-crossing dependencies;
- registrations, work authorization, tax, product, and labeling requirements that counsel says apply;

ESD identifies tourism as a key industry and cites the Adirondack Park, Lake Placid, and Thousand Islands as anchors [1] . Annual revenue is an especially weak diligence measure here. Build monthly schedules for occupancy or transactions, average rate or ticket, deposits, cancellations, payroll, utilities, maintenance, marketing, debt service, and cash.
Stress-test one weak peak season, a delayed opening, weather disruption, and loss of key seasonal staff. Check whether deferred maintenance, snow load, water systems, septic, shoreline, access, or insurance creates off-P&L capital needs.
Workforce and routes are local, not regional
Map employees and customers by ZIP and drive time. For each critical role, show pay, overtime, housing or commute constraint, credential, training time, and realistic replacements. NYS DOL data helps frame local labor markets, but actual postings, applicants, and turnover at the target are stronger evidence [4] .
For home services, distribution, medical transport, pest control, or maintenance, calculate revenue and gross profit per route-hour. Model winter travel, emergency coverage, deadhead, and the true radius one branch can serve.
Use industry clusters as a diligence prompt
ESD highlights agribusiness, transportation equipment, tourism, and cleantech and renewable energy [1] . For a buyer:
- Manufacturing: verify customer approvals, imported inputs, equipment, workforce, environmental history, and change-of-control requirements.
- Agriculture and food: map seasonality, supplier concentration, storage, water, permits, and commodity exposure.

- Construction and property services: normalize weather, backlog, deposits, equipment, and skilled-labor capacity.
Statewide closing controls remain essential
The NYS Tax Department warns that a buyer may become liable for a seller's unpaid sales tax and describes the bulk-sale notice process [3] . Coordinate notice timing with counsel before payment or possession. Also verify entity status, UCC liens, licenses, workers' compensation, unemployment insurance, property approvals, and any cross-border obligations.
